Terms and Conditions of Service

By accessing and using the services of Wisepod ("we", "our", "us", "consultant"), you ("Client") agree to abide by the following Terms and Conditions (the "Agreement"). These terms apply to all services provided by Wisepod unless otherwise specified in a separate written agreement.

By engaging with Wisepod for services, you acknowledge and accept these Terms and Conditions.

Scope of services

Wisepod will perform the services described in the proposal and any associated documents provided to you. The specific services to be provided are outlined in the project scope and proposal document. Any additional services requested by you that fall outside the agreed scope, will require a new agreement or addendum.

The Consultant will provide the Client with strategic marketing consultancy and project management support in line with the agreed project proposal document. The services will begin as stated in the signed agreement document and continue until terminated by either party per the terms outlined. 

 

Any changes or additions to the scope of work must be agreed in writing by both parties. The Consultant reserves the right to adjust fees and timelines based on the additional scope of work.

 

The Client understands and agrees that this Agreement does not constitute an exclusive agreement. The Consultant is free to engage with other clients during the term of this Agreement, provided that such engagements do not conflict with the Client's interests or the services provided under this Agreement. 

 

Additionally, the Consultant may, at their discretion, subcontract part of the work to approved third parties as necessary, provided that the Consultant remains fully responsible for the performance and delivery of the services provided. The Consultant will inform the Client of any subcontracting arrangements in advance.

Payment terms

The fees for services are as outlined in the proposal document. All fees are exclusive of VAT, which will be applied where applicable. Payments will be made according to the schedule outlined in the proposal. Payments are due upon receipt of the invoice. Late payments may incur a late fee of 10% per month on any outstanding amount beyond 30 days. Failure to pay invoices in a timely manner may result in the suspension of services.

Project timelines

The project timeline, including key milestones, will be agreed upon in advance. You, the Client, agree to provide all necessary materials, approvals, and feedback within reasonable timeframes to ensure timely project delivery.

Any delays caused by the Client, including but not limited to, late approvals, or failure to provide required materials, may result in an extended project timeline and potential additional fees.

Revisions and feedback

Wisepod will offer up to two rounds of revisions for each major deliverable within the project scope. Additional revisions requested may incur extra charges based on the complexity and the time involved. If you request changes or additions to the original agreed scope, Wisepod will provide a new estimate, and both parties must agree to any additional costs or timeline extensions before proceeding.

Client responsibilities

You, the Client, agree to:

  • Provide all necessary access to materials, platforms and systems required for the completion of the agreed scope and services.

  • Ensure that all content provided, such as but not limited to text, images, and branding materials, is accurate and complies with relevant laws, including intellectual property rights.

  • Provide timely feedback and approvals throughout the duration of the project.

Confidentiality

Both parties agree to maintain confidentiality regarding any proprietary or sensitive information exchanged during the course of the project. This includes, but is not limited to, business plans, marketing strategies, financial data, and other private information. 

Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under this Agreement due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, strikes or governmental restrictions.

Limitation of liability

To the maximum extent permitted by law, the total liability of Wisepod for any claims arising out of this Agreement will be limited to, and not exceed, the amount paid by the Client for the project and specific services provided. Wisepod is not liable for indirect, incidental, or consequential damages arising from the use of the deliverables.

Governing laws

These terms are governed by English law and the English courts shall have exclusive jurisdiction to decide on any dispute concerning these terms.

Project cancellation

Either party may request a project pause or cancellation in writing at any time.

  • Termination by client: You may terminate the agreement with written notice at any time. In the event of termination, you will pay for al work completed up to and including the date of termination.

  • Termination by Wisepod: Wisepod may terminate the agreement if you fail to meet your obligations. This includes, but is not limited to, defaulting on payment or not providing the required materials, or if the relationship becomes unworkable.

  • Refunds: You will not be entitled to any refund for work already completed prior to termination. Any prepaid fees will be refunded on a pro-rata basis based on the remaining work, if applicable.
